The II variant has a better microphone and has USB built in. I'd imagine these Pro versions have the same microphone (the better one than the regulars) and USB connectivity for both PC and XBOX. The regular has a decent micrphone but the improved one is a upgrade in sound quality and it has a 3.5mm jack instead of USB. Also with the pro version you get a carry case.
