FEEDBACK ON UPGRADE IDEAS PLEASE HELP IM CONFUSED

PLEASE HELP A NOVICE !-The pc I use for Audio production has just died and i need to build a new one with the remains :)- Ive had a few ideas wondered if you could comment?

Old Parts-

Western Digital Caviar ATA 120 gig hard drive

Matrox G55+MDHA32db Dual Head graphics card (pci)

M Audio 96/24 audiophile sound card (pci)
Chieftec Tx 10wd case (axt form- same design and dimmensions as new Chieftec Dragon Series Full Tower)
Chieftec 12v 360 w power supply

Ideas for new parts-

Intel Pentium 4 630 "LGA775 Prescott" 3.0GHz (800FSB) £117


Corsair 2GB DDR2 Value Select PC4200 Dual Channel Kit £123


Western Digital Caviar Special Edition 160GB 1600JS SATA-II 8MB Cache - OEM (HD-047-WD) £53

Motherboard wise im thinking about either:

Gigabyte 8I945P-G or...Gigabyte 8N-SLI (£70)

I really need help as this is my first solo new build. Please could you comment on my choices and if you think either of these boards are much chop which one would be best- im trying to keep my budget just shy of 400 notes.
Also when i sent this specification to gigabite they mailed back that it seemed fine but i should use pcm 3200 modules, which confused me more- any thoughts on that comment would also be greatly appreciated...i really am a novice...THANKS IN ADVANCE

If you're going for an intel I would be tempted to wait for the conroe, the current gen. of Intels arn't great. :(
Also getting an Sli motherboard would be a waste if you're using a matrox video card.
Don't know much about motherboards for the Intels but for the AMD 939s most people go for Asus or DFI boards

Thanks for the advice guys, much appreciated. Am i to take it from your comments that there is a general feeling that asus boards are better than gigabite? Also after doing a bit more reading up it seems that a lot of people think the intel chipset is more stable than the n vidia and would be a better choice if gaming and graphics are not realy something im interested in? Ive looked at the Asus bioard suggested and it looks pritty similar in features to the gigabite motherboards ive investigated so i gfuess im now going to have tomake a choice between the
