That was my first thought too although maybe she just likes the attention from two guys. Either way the OP needs to get time alone with her and talk to her, if she's not interested she won't accept a date "with just the two of us."

He could always say he really likes her and would love to spend some time with her to get to know her better. That's generally better than saying "without your freaky perve mate drooling over you."
