I want to order the above and overclock it to around 3Ghz. The more I read the less I know what to buy. Simple question, will the above work without any major issues?

I couldn't care less about the brand of memory or for that matter the mobo, but the above is what I think may work.
 
that looks like a good spec to me and it will overclock really well.

What power supply are you thinking of hooking this up? The ninja is a rather big cooler so what case do you have i think its something like 14cm in hight from the motherboard.

Oh I see your point, I thought you meant the mobo :o

Perhaps getting a measuring tape out and checking before buying would be a good idea ;)
 
I would personally go for a higher rates psu than 430w with a X1900XT and here is why

I realise its not completely comparable as an Opty 170 will draw more than a conroe but ........... I had a s939 cpu as above with an X1900XT and a Tagan 480w psu (as good quality psu as antec in my opinion) and this rig wasnt 100% stable at stock which i put down to the high current drain of the X1900
