Whats the difference between: -

apart from £130.

I'm after upgrading my laptop that has XP home and I need to be able to log onto a domain with it but I'm not bothered with the entertainment side with the laptop. Will the 1st one be suitable for me?

Difference is OEM and Retail EULAs. Plenty of stuff in the sticky about the differences, but OEM would probably suffice if you're not planning on changing your laptop.
