Retail has a 3year warranty vs 1 for OEM

A intel heatsink+fan is included with the Retail chip also there is a shiny box for it all.
 
Sandy Bridge is just the codename Intel use for that microarchitecture, of which the 2500k is one model in the Sandybridge line if you will.
