LAN PC Doesn't work. :( need lé help

This thread contains a lot of useless information and one hell of a plot. If your going to read this gubbins then read it all. ^______^

Specs:
MOBO: ASROCK P45XE
CPU: Intel Dual core E8400 @ 3.0GHz (Stock)
RAM: Corsair 4GB DDR2 800Mhz
GPU: EVGA 8800GTX

Chapter 1: A new Beginning
Well here's the story I have 2 computers. One is called MEGA PC which you can see here.

The story goes like this, I've used all my old part (Bar a new GPU) in order to take Lan commy to university. Just for about a month or so before I consider taking the MEGA PC mainly because its too big to carry. Back to the beginning so one of my pumps broke in mega pc so I built my Lan computer to watch films and go on the interwebs, you know the usual stuff. It was working perfectly for 4 days playing games watching films the works. Then one day it just wouldn't decide to turn on. Well it would turn on but not get past post. The speaker wouldnt make any bleeps indicating a dead motherboard. So I figured well its an old P35 chipset motherboard it's lasted me 2 years maybe it was it's time. So I bought a used P45 chipset motherboard off ebay (Asrock P45XE).

Chapter 2: **** hit's the fan
So my new motherboard arrives looks in great working order, so I set it up and unfortunately I get the same problem as before but this time Lan computer keeps restarting, Constantly turning on and off. I originally got 2 long beeps followed by a short beep before it would restart. I then reset the CMOS now it just turns on and off constantly with no beeps.

Anyone got any ideas?

i no its silly but always good to start from basics, have you checked that all the motherboard stand off's and in and none of the board is touching the back of the case?
