Or i was thinking maybe a date after NYE like a show in london then asking her out afterwards... or is that too corny?

Maybe arrange a date after NYE but tbh... none of the above are great.

The key to all of this is attraction, you're clearly already attracted to her but it seems a bit 50/50 on her part at the mo. She obviously likes you as a friend too else she wouldn't be spending so much time talking to you on the phone though I'd think putting too much emotion into something like this has massive potential to backfire and drive her away so don't go for the whole love letter/pouring your heart out thing at the moment.

You've really got the perfect opportunity coming up - NYE - simply make it so you're hanging out with her. Don't be shy around her, act confident and make a move at midnight. Things that might help are getting her and her friend's to come round for pre-going out drinks at yours and/or having an after party to go to - if for some reason you're not able to isolate her at midnight and/or you want to escalate stuff then make sure there is somewhere for you to take her (and perhaps her friends) after the club has closed.
Having a pre-planed place to hang out afterwards stops any awkwardness like her best mate wanting to take her home and prevent her going off with some guy (you) etc... instead its all more socially acceptable just bring her mates and some of your mates back to yours etc... and you can always disappear with her later.
If it works out well then your pre-arranged post-NYE date could also work out even better.
