I was wondering if the "Microsoft Windows Vista Ultimate 32-Bit & 64-Bit Upgrade Edition DVD - Retail (66R-00021)" has the strict policy regarding major hardware changes that the oem versions do, and also it comes with both verison 32bit and 64bit?

No it doesnt OEM is meant to come with a ready made PC. An upgrade is like buying the retail copy. You can change your Motherboard as much as you like.
 
The name of the item kind of gives the game away there... albeit you will have to send off for the 64-bit disc separately, apparently.
 
cheers for the answers, i was planning on using 32bit for the meantime untill the 64bit support becomes a little more widespread and then swithch over later down the line
