£150-£200 upgrade (cpu/mobo/ram)

Hi there, I'm thinking of upgrading my computer with some of my christmas cash with around £150-£200 to spend..
my current system is :

asus a8n-e
AMD 64 3200+ @ 2.7ghz (939)
1gb value corsair ram
seasonic 430w
asus en8800gt

This is what I propose with the idea of overclocking the processor.. will this give me a good boost in performance?

I'm really not sure about the motherboard so any help or suggestions would be really helpful :D

The DS3L is not good for overclocking. The Asus P5K would be a much better choice as would be the OcUK Value IP35 Pro.

EDIT: In addition you'll want an aftermarket CPU heatsink since the Intel boxed cooler will limit your overclock.
 
I have a tuniq tower so that isn't an issue, I'm a bit scared of being a "guinea pig" for the new ocuk value boards, the p5k on this week only is only £5 more than the gigabyte so is certainly more tempting. how is the p35c-ds3r in comparison? or even the p35-ds3r (although that is quite a bit more expensive)
