can't the fans be replaced with quiter ones? or that does void the warranty?

Is that not the reason?I wrap mine in clingfilm to cut out the noise. I've gone through 10 360's for some reason
I'd take it back Fox. In my opinion, it's a fault if you can't hear your DVD movie properly above the noise of your Xbox. My Elite (Falcon) has pretty much silent fans.
It's really not that simple, and it is not faulty either.

I researched beforehand which retailer had the quiet ones. There is a 360 drive database which people contribute towards whenever they buy a 360 so you can tell what retailers are getting the latest batches. I cannot link to it or the retailer I used but its very well known company which also rents games/movies seems to be the safest bet as majority of their stock is the most recent Jaspers and the staff will even help you check the box for the 12.1a PSU rating without opening itThis implies that all Jaspers are quieter than other revisions which is not the case. It is pot luck. A day 1 360 can be quieter than one manufactured yesterday.
