4200+, 3700+ BSOD

I was originally running a 3700+ on an Asrock Sata 2 Dual mobo with 2 GB of G.SKill ram. This setup ran without a hitch. Swapped the 3700+ for a 4200+ dual core and started getting random BSOD's all with an 8E stop error code which most forums say is a memory error. I ran memcheck on the ram and it passed consistently, ran for hours. Tried changing slots and only running 1 stick but still the same. So I decided the 4200+ had to be to blame and put my 3700+ back in. Guess what, just had a BSOD with an 8E. Any ideas? Could the mobo be to blame?
 
Well technically speaking, swapping CPU's like that shouldn't cause a problem with your Windows install, but that doesn't mean it won't- i've done similar swaps and encountered similar problems which were solved by a reinstall. Still, it's a pretty major thing to do if you don't want to- eliminate everything else first! Nothing obvious springs to mind other than maybe a temperature problem or possibly damage to the motherboard while switching?
