AMD 3500 to a AMD 4000

Hi
Currently have a AMD 3500 venice on a 939 board, would upgrading to an AMD 4000 give me much improvement in games and general tasks?. I have 1 gb ram and a Galaxy 7900gs 512mb GPU. If I bought an OEM 4000 chip from OCUK would I be able to reuse the heatsink and fan from my 3500 or is it best to go for retail?.

Thanks for the advice, would this upgrade be a plug and play or would it need extra mods bios etc?

Thanks for the advice guys. I think Ram maybe first before CPU.
