If you want to keep the CPU, just get a recent AM3+ board and 2x4GB DDR3 RAM. The newer board will give things like SATA6/USB3 which I'm guessing yours doesn't have.

Yeah, don't bother trying to fix up a system without those and stuck on DDR2. It's not worth it. If you get a 970 board you'll be able to upgrade to an FX processor later too.
