2 cores, both of them clocked higher than a 3200+ and you get 1mb L2 cache... i fail to see how this wouldnt register as being a rather large upgrade ;)
 
Prob depends what you use the comp for as someone's said above. If it's a gaming machine then you're probably best off spending it on a new gfx card but what do I know? Apart from that I wouldn't dare suggest going Conroe cos I don't fancy a tyre iron lodged in my eyeball hehe.
