Are these components ok together?

Its been a couple of years since ive upgraded so im a little out the loop with pc hardware and im thinking about ordering these bits:

Asus P5N-E SLi nForce 650 (Socket 775) PCI-Express DDR2 Motherboard
Intel Core 2 DUO E6600 "LGA775 Conroe" 2.40GHz (1066FSB) - Retail
CellShock 2GB (2 x 1GB) DDR2 PC2-6400C4 800MHz Dual Channel Kit
Corsair HX 620W ATX2.2 Modular SLI Compliant PSU (CMPSU-620HXUK)

I already have a 8800 gts here waiting and im not bothered about overclocking
just want a stable comp with good performance for games at 1680 x 1050.
anything overkill for my needs?

Very nice choice, will run any game fine at that res and is all compatible ect

Whats not ok? the components together or for overclocking.
i may overclock but not too bothered about it.
