Hello im looking to upgrade my packard bell motherboard to the asrock N68C-S UCC as i only do a light bit of gaming and ive had the motherboard for a few years and the chipset etc gives me problems.

http://www.overclockers.co.uk/showproduct.php?prodid=MB-028-AK

I was wondering if it is compatible with 240 pin ddr2 and a amd phenom x3 8450 processor, i also noticed that the motherboard can unlock the 4th core in the processor which will be handy as i plan to overclock the processor a bit so the extra core will give me even more power.

if all is well and compatible with the current hardware i have then i'll order myself the motherboard.

Also i plan to upgrade the processor to a AMD quad core black edition 955 125 watt version at a later date, would it be compatible with the motherboard?

The Asrock board does work with the X3 8450 CPU, however it is limited to 95W CPUs, so the 125W version of the Phenom II X4 955 won't work.

Personally I would suggest going for this board (if you can use a full ATX board) or this board (if you case requires a M-ATX board) - both of these boards support both the X3 8450 and the X4 955 125W. These boards require DDR3, but with the price of 4GB 1600MHz DDR3 currently at £36 this is really the time to sell your DDR2 and move over to DDR3 as the net upgrade cost won't be too high.

im on a really low budget, and ive pieced together a list of stuff of around £90 i'll be ordering next week due to moving house. its OCZ Platinum 4GB (2x2GB) , the asrock motherboard, some thermal paste and Asus Silent Knight II CPU Cooler because i only have a 3 pin fan and it goes mental in a 4 pin mobo if the mobo is 4 pin :L
