Purchased this gfx card from overclockers. have installed it, but it refuses to play happy..

Motherboard: Gigabyte S series, P35 chipset, P35-DS3P (NEW)
Chip: Intel Duo 4200 Coolermaster heatsink. (NEW)
RAM: OCZ nvidia 800 matched pair. (NEW)
PSU: 700 W (NEW)

What happens:

Boot up, i hear single beep, BIOS splash screen loads up. pres DEL, enter Bios, with this gfx card, about 13 seconds will go by then the screen will just go black.. nothing else.

Bios reporting max temperature is 40 for the system, and 35-37 for the chip

If i place the previous 800 GT card i can boot and stay in bios as long as i wish, again same temperatures.

Yes, 6 pin molex is connected to the rear of the card.
Yes, 4 pin connected is connected to motherboard, with 24 pin power

Have tried connecting minimal whats needed.
ie: no floppy, no 2nd hard drive, no cd-rom

nothing connected bar speaker, on/off, and 1 sata drive.

I have tried loading system defaults etc in the bios.

Weirdly, if i chose to boot into windows xp (on this hdd), i will get the loading windows splash screen, with the blue lights running across. then it usually just reboots the pc at that point (With either of the graphics cards)
The xp installaion is fine. should be nothing wrong with that.

Anyone know anything else i can try ?
