Barton to SanDiego upgrade, much point?

Hi

As the title suggests, ive got a rickety old barton 2800, and im toying with upgrading on the cheap. Ive been offered a fairly cheap Athlon64 3700.

Would this make as much of a difference to a system as id like it to?, or is it not that much better.

I know id need a new motherboard, but could i use my old 3200 memory on the new one? Or would it need to be swapped for something newer too.

If it makes any difference, im using an Asus x800xt graphics card.

Yep, i upgraded from a barton 2500+ (Ocked @ 2200-2400mhz) to my 3700 and yes, there is an obvious difference

i upgraded from a barton running at 2.5ghz to an opteron running at 3ghz. only difference i see is in video encoding and mp3 encoding and winrar compression. games no difference since i was gpu bound on a 6800nu.
