Bits needed for HTPC upgrade

Hi,

Been quite busy over the past few days with a new main rig specced up by you guys, and I've also moved my HTPC into a new case, but have come to the conclusion that I should probably upgrade that too.

I currently have an old Gigabyte GA-MA78GM-S2H board and a low-power AMD CPU which I can't recall at the moment, with an Antec 300w PSU.

I've moved it into a new case (Silverstone Grandia GD08), but I'd like to upgrade the guts, so can you recommend:

Board with good on-board video
CPU (low power)
Cooler (silent)
RAM (should I go 8gb given that the onboard gpu will share?)

It's outputting via HDMI to a TV, running XBMC and MediaPortal on Windows 8.1. Also have a PCI-E satellite card in there.

Budget - not sure, couple hundred quid I suppose? Don't go nuts ;-)

As usual, any suggestions appreciated.

Actually only the things I noticed when I moved to a "proper" HTPC case - the lack of USB 3.0 ports so I couldn't hook up the front panel, only one fan header despite the 3 fans in the case. Also that there is room for a lot of extra HDDs if I need them but I'm out of SATA ports already.

Probably not essential reasons for upgrade I guess, but I was just interested in knowing what the next step might be.
