Tried getting in touch with the coolermaster tech support to see if it will fit onto an P5WD2 Premium Intel 955X board and still allow clearance for the gfx card.

It looks like it should fit ok, but hoping someone here has had experience with it.

The only thing I can see there being an issue with is interfering with a Graphics card on some MoBos. Ensure that the heatsink is not in direct line with the PCI-e, PCI or AGP slots...
 
Looking at it I would say no... however if I'm looking at the mobo why would you want to change... the stock cooling is passive :/
 
I'd say go for it, unless it's going to interfere with the Graphics cards/PCI slots (the reason I never bought a Zalman passive NB cooler for my A8N-SLi)
Luckily i decided to go watercooling, including the NB in the loop.. that ended that little dilema.

What are the temps like? is it getting hot enough to warrant getting the cooler?
