Build Advice - 2 Options

I have a bit of a dilema (the good kind!)

My current PC is the following Spec:

Q9450 @ 3.4GHz
ATI 5870
4GB DDR2 Ram
Asus P5B Deluxe Wifi-AP
X-fi Sound card
Corsair VX550 Power Supply
500GB HD
1TB HD

I also have the following bits lying around:
E6600
120GB HD
USB Wifi Adapter
Any peripheral you can think of

In adition I'm going to build a media server that runs iTunes and serves files to my Apple TV 2 and any laptop on the network. I've also started playing more games again with Deus Ex 3, Skyrim, BF3, MW3 etc all coming out. I'm therefore itching to upgrade my CPU and MB to an i5 or i7.

My dilema is as follows:

Option 1: Build a dedicated server from new low power bits and leave my current PC as it is.

Option 2: Upgrade my current PC to an i5/i7 and underclock the old bits and use as the server.

I'm not going to buy any hard drives for my server as I can use that 1TB drive from my current pc and buy another couple when the prices go down next year.

I have ~£300. I also don't own BF3 yet but I'm going to buy it soon. Therefore if it comes free with any hardware I buy, then that's a bonus. Lastly the server will be on 24/7 so if it uses less than 100w at idle, that is very good. My gaming rig will also be overclocked (goes without saying really!)

What would you do? Spec me!

i'd go option 1, but maybe get a couple of ssd's, one for your main system and a smaller one for your media server.
