Building a new system and this is about the limit of funds....any incompatibilities here?

I am currently on a oldie P4 rig so any advice would be welcomed

None. But, change mobo to a P35 chipset based one like this. Its newer, slightly faster & supports (from go) 1333MHz & upcoming 45nm processors.
