Building new system, is this ok for compatibility?

Hey all,

Its been a little over 4 years since i have built a new system, and was looking to upgrade my current pc. Am not sure whats the best components to buy anymore and was wondering if someone could have a look at what i have chosen to see if it would be ok?

My current system is:

Asus P4 C800 E-Deluxe
Intel P4 CPU Northwood 3.0GHZ
4x512MB PC-3200 RAM
ATI 9600XT
WD Caviar IDE 80GB
Cheiftec 350W PSU

This is what am hoping to purchase later on:

Asus P5K Intel P35 (Socket 775) PCI-Express DDR2 Motherboard

Intel Core 2 Duo E6320 "LGA775 Conroe" 1.86GHz (1066FSB) - Retail

The system is going to be used for general gaming at 1280x1024 and video editing, and i will be sticking with my copy windows xp home edition

w/o overclocking, how do the 4300 and 4400 stack up? cant imagine there would be a noticeable difference?
