Changing a system32 file vista64

I want to replace the file mf.dll in c:windows\system32 and I can't, it keeps saying I haven't got permission.

I'm the only user and I'm set as the admin obviously.

I've used the takeown command after running command prompt as the admin on both the individual file and the whole system32 folder and still nothing.

Any tips here guys?

Windows vista ultimate 64 btw.
 
Have you tried right clicking the file - properties - security - edit?
Click on your username then below tick 'Full Control' and apply.

I just had to do something similar to get windows to get passed the driver signing crap on boot up.
