Changing CPU

Thinking of changing from my Q6600 with PC6400 RAM To a 8600 with some PC8500 RAM.

Just changing the CPU and RAM I will not have to format right?

I am using an Abit IP35 Pro.

No you won't. Pop it in re-set cmos, boot it up and then re-enter all your bios settings. You may need to flash to the latest bios first though.

pastymuncher is right, it is usually only for a motherboard change that you will need to reformat and even then you might get away with a reactivation although I wouldn't particularly recommend it.
