I have this motherboard:

asrock N68C-GS FX

I have found a deal on this processor: AMD Phenom II X4 840 3.2 GHz (HDX840WFK42GM) Processor

and I'd get it with this heatsink: Asus Royal Knight 120mm EBR CPU Cooler

and I have DDR2 RAM which I can't upgrade now, but might do later.

would this be all good?

That will be fine, mobo supports both DDR2/3 and the Cpu.
