Compatibility question

Sorry if this is a stupid question, but does memory that is faster than a motherboard's specs work okay, but at the lower (motherboard) speed?

What I'm trying to say is, would this memory and mobo work together:
OCZ 2GB (2 x 1GB) PC2-6400 http://www.overclockers.co.uk/showproduct.php?prodid=MY-072-OC
Asrock Conroe945G-DVI http://www.overclockers.co.uk/showproduct.php?prodid=MB-004-AK&groupid=701&catid=5&subcat=326

The mobo takes PC2-5300/5400 RAM - would the PC2-6400 work but at 5300/5400 speeds? Or would I be safer with something like this:
Corsair 2GB DDR2 XMS2-5400C4 http://www.overclockers.co.uk/showproduct.php?prodid=MY-095-CS&groupid=701&catid=8&subcat=144

The OCZ will work fine at pc5300 speeds. You should be able to tighten its timings at that speed too.
