Components for new system check

My trusty P4 1.8 (1GB, upgraded 6600GT) has served me well over the past 4.5/5 years but its slowly dieing of oldage so time for a new system.

This is mainly for gaming (eve, BF2 and others @ 1280x1024), surfing, bit of video encoding and maybe watching HD def (hddvd/bluray) videos in the near future. I also do a bit of work at home (VS2005, SQLserver and Crystal Reports). I dont mind a mild bit of overclocking but nothing that makes the computer less stable. I would also like a quiet(ish) computer this time unlike my current one.

So far after searching I've got this listed:

anyone see anything drastically wrong with this spec?

personaly id get a c2d e6300 and then get a 8800gtx, ds3 mobo would do the job and a AC f7pro would save some money

edit then you could afford a better psu 600w plus

Doubt you could fit the ninja in such a small case.
