Computer randomly rebooting?

My PC is restarting every few hours which is starting to annoy me...

In the Event Viewer I get this:

The computer has rebooted from a bugcheck.  The bugcheck was: 0x1000008e (0xc0000005, 0xb36e2d1b, 0xb24ce8b4, 0x00000000). A dump was saved in: C:\WINDOWS\Minidump\Mini030108-02.dmp.

On XP SP2

I'm really stuck so.. anyone? :confused:
 
AMD 2800+ @ stock
GeForce FX5700 Ultra
2GB 3200 G-skill ram - tried switching RAM slots for both modules
ABIT KD7 mb
2x 40GB maxtor - both tested with HDtune for errors.
Creative X-Fi Fatality
XP SP2

New installs:
Avast! antivirus (after it was starting to do this...)

No warnings. Just instant restart like someone would press the reset switch every 2-8 hours. No slowing down, no errors, no blue screens!

Nothing else tbh...

Newest driver I installed was Nvidia169.21 drivers when they first came out, before that it was the beta x-fi drivers for XP..

I've already tried this option and searched arround google for a few days with no luck or fix to this problem :(
 
Ohh, yes

12/10/32A <-- Very old CD writer. although wrote a CD with it without any problems an hour ago!
 
It's still restarting with the writer fully unpluged and it's the only optical/removable storage device.
I thought it maybe was the power supply but i've even replaced that with no luck..

I repaired my XP install, it replaced all the system files and now I get a 'tcpip.sys' bluescreen randomly..

I debuged the minidump and @ the bottom it says:

I downloaded mem-test and will run it tomorrow morning for a day to see what results I get.
