Considering upgrade with Xmas Bonus...thoughts?

Hey all,

Currently have the following CPU, Mobo and RAM:

939 X2 3800+
DFI Ultra-D
2gb G.Skill 3200 ZX
Thermalright XP120

Looking to get the spec below with my Xmas bonus and however much I can get for the spares I will have above (how much do you reckon?)

Intel Core 2 DUO LGA775 E6600 2.40GHz Retail
Gigabyte 965P DS3
2GB Corsair XMS2-6400C4 DDR2 Dual Channel Kit
Arctic Cooling Freezer 7 Pro CPU Cooler (Socket 775)

Will I see a marked improvement in performance and is it a worthwhile upgrade?

Yes you will see an improvement, how much depends on what you do with your PC. I'd probably suggest the Asus P5W range of motherboards as they are based on the 975 chipset which seems to be better for overclocking with the 6600 and above.

I'm not too sure on prices for your old parts, maybe ~£100 for the Ram, similar for the CPU and £45 for the motherboard as a very rough guess.
 
In games you'll see a boost but depending on settings it won't be that big if your keeping the 6800 GT, like said above it depends what you do with it :)
 
I'll be picking up a 7900GS too but I didnt mention that as its a no-brainer :)

Main use is day to day stuff and games

What about the Asus P5N32-SLi SE Deluxe nForce4 SLi X16 (Socket 775) PCI-Express Motherboard (MB-174-AS)?

It should be fine but I'm not sure how well it clocks, the Asus P5W DH Deluxe WiFi on the other hand has been noted for overclocking well however it doesn't support SLi (only Crossfire) if that might be a concern for the future?
