Help req'd: Corsair 2GB DDR XMS3200PT TwinX

I've got a DFI RDX200-CF-DR and an opteron 165
Will the following memory be ok and what is the potential for overclocking?
I am aware that the board supports DDR but not sure about this DDR2:

should be fine but dont know how it will OC. its cl3 so i doubt it will go high

I was not really planning to overclock the memory, just the CPU. Wll this particular memory pose any restrictions on CPU overclocking or am i better off sticking to my MY-005-GL GeIL PC3200 Value Dual Channel Kit CAS2.5?
