I have an old computer, it is socket 775 and has a intel pentium d 820 oc'd at 3.1ghz.
Could i buy a intel core 2 duo e8400?
The motherboard is lga775 and has fsb of 800mhz. However the core 2 duo e8400 has 1333 fsb speed. Does this matter? Can i upgrade?

Do you know the motherboard make and model?

Majority of motherboard which could take the Pentium D range could not take the latest the Core 2 duo range.
 
Unlikely an upgrade would be effective, you could try an get an older 800Mhz CPU eg. E4300 etc but they run at a slower clock speed of around 1.8Ghz. You should get one for a few ££ as they were never popular, then it boots or it doesn't

Other than that a cheap H61 motherboard (£40) , Celeron G550 (£35) and 4GB DDR3 (£30) would be a significant step up from the pentium.

Total outlay around £100 ..... there are newer platforms. Really depends what you want from the system.

i was thinking about getting a 13 540 (£40) but it runs on 1156 i think and i cant find any mobo below £50 for it.
 
Socket 1156 is very out dated hence not many boards about at a sensible price.

Socket 1155 is current but is being superseded by 1150.

s1155 is where the best deals are, A pentium G860 @ £60 new should be a match for the I3 540 though there are plenty of s1155 second hand bargains as users upgrade.

best part about 1156 though is being able to overclock the cpu's

you cant do that with 1155/50 non k cpu's

if you could get a cheap 1156 board you could even plop in an i5 750 quad core later on and oc it
