cpu and mobo spec

Right, I'm looking to put together a htpc for xmas. However I can't really decide what to choose for the motherboard & cpu combination. I ideally want an HDMI output to future proof it a bit and I would like to support 1080p if possible.

Now whats your opinion on these choices?

Intel Core 2 Duo E2140 "LGA775 Conroe" 1.60GHz (800FSB) - Retail for £42.29 inc VAT

with either
Gigabyte GA-G33M-DS2R Micro ATX for £68.14 inc VAT
or
Abit Fatal1ty F-I90HD ATI Micro ATX for £68.14 inc VAT

OR

AMD Athlon 64 X2 Dual Core 4000+ 2.10GHz (Socket AM2) - Retail for £42.29 inc VAT

with

Asus M2A-VM HDMI Micro ATX for £45.81 inc VAT
or
Abit AN-M2HD nForce 520 Micro ATX for £56.39 inc VAT

The amd has a faster stock speed but I think the C2D is a better OC'er however I'm planning to house this in the antec fusion case and was wondering what heatsink and fan to use for either set up and would I be able to keep it cool enough to OC in that case.

Any opinions and suggestions very welcome :)
