CPU + Memory Combo Choices

Can i get some advice on what to go for out of the following:

1. Intel Core 2 Quad Pro Q6600 "Energy Efficient 95W Edition" 2.40GHz (1066FSB) + GeIL 2GB PC6400C4 800MHz £247.90

2. Intel Core 2 Duo E6850 "LGA775 Conroe" 3.00GHz (1333FSB) + Crucial Ballistix 2GB DDR2 PC2-8500C5 1066MHz £290.20

Both would be going on an Asus P5K SE Intel P35 hooked upto a Samsung 24" LCD. Im undecided as to whether to go for a GTS 640 OR the OcUK GeForce 8800 GTX as yet.

I know the quad will overclock to the 6850 speeds but wont i need to spend extra on cooling to get it there? And will the quicker Ballistix memory give the 6850 an edge? Or will the 8MB Cache of the quad be more beneficial?
 
anyone? THG puts the 6850 above the Quad 6600 for out of the box performance in most situations.
If overclocking the quad is easy or cheap enough though id be willing to give it a go, but at the moment im pretty clueless as to what id need to do and buy.

Ok, so if i did go for the 6850 what memory should i be looking to go with it? I've read that the Crucial Ballistix 2GB (2x1GB) DDR2 PC2-5300C3 667MHz will suffice, what would be the benefits of going for the more expensive Crucial Ballistix 2GB DDR2 PC2-8500C5 1066MHz though?
