CPU+Memory+MOBO spec

Hi, im looking to overhaul my system with a new CPU+Memory+MOBO but have been out of the component loop for quite some time, and need your guys help!

I already have a :Nvidia 8800 GTS
~750W PSU
Lian li PC101 case

Could some very helpful peeps spec me a solution for between £250-£350?

A little bit more pricey but it gives you good upgrade path with AM3 and DDR3.
