CPU/Ram/Motherboard upgrade

I'm looking to upgrade for around £250 and I've put together something which seems okay to me but I'd like others opnions too as well.

Intel C2D E8400
Asus P5QL Pro Intel P43
Corsair 4gb

Total is around £260

My current graphics card is a 4850 so I don't need to change that.

I'm not too bothered about overclocking, mainly because I don't have a clue on how it works, but if I wanted to get the CPU to say 3.5ghz, would the stock cooler be enough for that?
 
The biggest problem with that is the motherboard. Have you seen the awful position that they have sited the 24 pin socket? I would pay the extra £6 and get the Gigabyte EP43 DS3L.

Not sure about clocking with the stock cooler as the Wolfdale ones are very thin. A Akasa AK-965 at £12.64 would be a good investment. Quieter and cooler than the stock heatsink with plenty of headroom for clocking too. Easily as good as the much more expensive Freezer 7 Pro.
 
Had a similar position with a floppy connector years ago on an abit mobo, I just laid the cable underneath the mobo and neatly out the other side, worked a treat :)
 
Just wondering what other people think? Is the motherboard okay? I'm not really planning to overclock so I'm not sure if that makes a difference.
