CPU upgrade advice please

Hello, i currently have an Intel Core 2 Duo E6600 "LGA775 Conroe" 2.40GHz (1066FSB) and am considering upgrading to a Intel Core 2 Duo E8500 LGA775 'Wolfdale' 3.16GHz (1333FSB), can anyone tell me if this would be compatible with my Asus P5N-E SLi nForce 650 (Socket 775) PCI-Express DDR2 Motherboard ???

I'm hoping for straight swap without the need to format hard drives, please take into account that i dont wish to overclock anything due to previous bad experiences.

It wil be a straight swop but make sure you have the correct BIOS.
