You can:

1 use gel pads for the fans
2 quite PSU (Seasonic)
3 passive NB cooler
4 new CPU cooler?

Arctic Cooling Freezer 4 or Freezer 7 Pro (you don't say what socket your P4 is). Good, genuinely quiet PSUs are few and far between but Seasonic and Akasa Paxpower have worked well for me.

Tagan Silent PSU's are damned quiet... not sure fan's can be silent but you won't notice them that's for sure.

no they will work with most cases unless you have a micro atx or other small form factor case mate.
