Dell CD Vista Home Basic - OEM

I have bought a Dell laptop recently with sempron 3400+ 1GB and 120GB hdd. After using the Vista Home Basic for a few hours, I decided to give up on it because my laptop is simply too slow for it. I tried to get return the XP to Dell and get refund but they won't take it.

I have been using my old Dell laptop with XP since then as it's way faster. I wonder if I can sell the oem vista CD with the COA but will the buyer be able to activate it on his PC / laptop?

My new Dell laptop didn't require me to activate vista when I use it and I have never updated the system from MS as it felt so slow. I want to put XP on the new laptop.
 
If you sell it or pass it on you are breaking the law.

OEM is for the computer it is instsalled on only
 
Vista will be BIOS locked and so won't work on any other machine.

Either way it's illegal as OEM licenses are non-transferable.
