What is the difference between OEM and RETAIL version?

OEM does not come with a retail heatsink? Is that all or is there more to it..
 
Yeah as above OEM is often referred to as 'tray'. Basically they just fill up a plastic tray with CPUs and out they go.

From a manufacturing stand point? they're pretty much identical.
