Differences?

Ones the retail version which comes with an intel heatsink.. i think the OEM version has a different warranty aswell? but im not sure
 
One is OEM, the other is retail. Retail comes with a 3 year warranty and a heatsink and fan. OEM comes with a 1 year warranty and no heatsink or fan, hence it is cheaper.
