Does CPU brand always = different memory?

I have this OCZ PC 3200 1Gig EL Dual CH platinum edition 2-3-2-5
that I had with my AMD x2 4400+ 64Bit and I was considering giving it to a friend who has a oldish Intel Celeron D 3.33 based computer.

Is there a chance that it will work or is a no no?

Depends on the motherboard, but it should be fine.
