The CPU will overclock fine on air, you probably don't need the AS5 since the Arctic Freezer comes with MX1/MX2 pre-applied. Your PSU is easily adequate.
One point to check though is that you have spare SATA/IDE cables before starting since the motherboard is B Grade and might not come with them.
I'd get the retail DS3, hardly much more expensive, and you'll get more than 30 days warranty.
my mistake perhaps, but I was under the impression that there was a shorter warranty on the b-grade. Perhaps best to web note the shop.
