downgrade an upgrade ?

if i have the msi 880g e35 would it be an upgrade ro go to a ASUS M3N-HT Deluxe/HDMI and also buy the ram what was is in the asus which was 8 gig of ocz ddr2 8500 sli ready memory and sell my e35 along with my 4 gig of ddr3 ram

or just dump the msi e35 and replace with a newer board M4N75TD

which is the better

its basicly so be pII be560 will unlock to a 4core and overclock to 3.8 or so... i only play quake 3 and any other time its usaly quite a fwe things at once
download / music / few webpages at same time open / converting / copying

my msi is a crap board and wouldnt want to overclock or unlock extra cores on it plus i can sell it, all the above items are from the same seller at VERY VERY cheap prices
