dual core pentium upgrade?

right at the mo i have a bog standard P4 3ghz 1mb cache cpu, these Pentium 805 dual cores are going pretty cheap now and i was wondering whether it would be worth buying one to replace my normal Pentium 4.

is the performance gain (??) significant enough? and can i overclock the crap out of it. i have a decent arctic air cooler.

PS on a good day ill have my penty clocked at 3.5-3.6ghz for a month on end easy.

Might be considering you will need a new mobo. Good thing is, current Intel's will get a drastic price cut then (which I think C3PO was hinting at)
