E6300 v's old Athlon 64 3500 worth it ?

got the chance maybe of a change of mobo and cpu

at the moment have very limited funds but can swap out my old

ecs nforce 4 s939 mobo & A64 single core 3500

have the option to get

e6300 base model and very basic mobo with funds left, i am not into overclocking and have pc2700 to use as RAM

is it worth doing, if so what are the advantages

other than that i could go x2 4200 or something similar and keep the mobo
