Hardware N00b here

Ok so at the moment I have:

Athlon XP 2800+
1GB Corsair XMS PC 3200
ATI 9800 Pro

I have been offered:

2GB Corsair Value PC3200 (4x512)
Gigabyte KT890 PCI-E motherboard
Athlon 64 3000 (zalman cooler)
Sapphire X800XL Ultimate (zalman cooler)

Would this be a significant increase in performance over what I have when it comes to playing BF2 ?

Yes it is, but if i were you, i would scrap the AMD 3000+ and get a dual core!

I have an absolute minimum budget (As in none) but have been oferred the lot for £140.

It would play BF2 very well, i had a similar setup on my original setup,
AMD 3400 skt 754
Asus K8NE
ATI X800XL, and 2GB RAM,

so it should be ok!

But if in time you can get a dual core i would get one, i got one for my recent setup and its good! im assuming since it has PCI-X then its Skt 939 this means you can pick up a decent X2 for a good price, but do not get the 3800, i wouldnt go below a 4200 tbh
