What's a conroe 954v?
Intel Conroes won't work in any Dell mobo. Only certain new mobos support conroe, so you'd need a new mobo and it's unlikely the Dell heatsink assembly would fit a different mobo properly. You'd probably need a new psu and ram too.
Basically, I don't think you can upgrade a Dell to conroe without building a new rig.
