Help...motherboard dead?

Ok kids and kiddettes, need some advice.

Fitted my new processor (X2 3800 onto a DFI SLI-D) last night and when I went to turn it on nothing happened.

I unplugged it and plugged it back in with the side off and kept an eye on it, I saw the PSU fan spin for a fraction of a second and the LED come on but then nothing. I then unplugged everything except the 3 power cables going into the board (I dont have the floppy connector one in) and tried again, this time it turned on but didn't post. I looked at the red debug LEDs and 2 of them were still on, looking at the manual this indicates DRAM issue?. Now baring in mind the only thing that had been changed was the CPU the RAM should be fine. Anyway I swapped out the CPU for the old one and turned it on...same problem, just those 2 red LEDs on.

So...has my motherboard taken a dive?

Unfortunately since I lost my net access until today I was unaware of the best procedure until now, I have printed off the guide from the dfi-street forums and will give it a go tonight...fingers crossed!
